инструкциям Comet по выводу из продажи продукции 8 11 В любом случае право Заказчика на возмещение убытков будет ограничено максимальной суммой равной стоимости Продукции имеющей дефекты или неисправности 9 Ограничение ответственности 9 1 Продавец сделает все возможное для доставки Продукции в соответствии с согласованными условиями но ни в коем случае не может считаться ответственным за ущерб прямо или косвенно вызванный задержкой при исполнении договора или задержкой поставки Продукции 9 2 Все чертежи фотографии иллюстрации описания технические данные и эксплуатационные характеристики или любые другие данные и информация о Продукции которые содержатся в документах или чертежах прилагаемых к предложению Продавца или в каталогах проспектах прайс листах рекламе Продавца являются исключительно указательными Отклонения или изменения не могут являться причинами и основаниями для непринятия товара или расторжения договора или быть причиной жалоб в отношении Продавца 10 Права на интеллектуальную собственность 10 1 Права интеллектуальной собственности находятся в полной и исключительной собственности Comet и их сообщение или использование в контексте настоящих Условий продажи не создает в их отношении каких либо прав или оснований для предъявления требований со стороны Заказчика Заказчик обязуется не предпринимать никаких действий несовместимых с правом на интеллектуальную собственность 10 2 Каждая идентификационная табличка и или любая другая форма идентификации размещенная на Продукции продаваемой Продавцом не может быть удалена без письменного согласия Продавца Любые изменения и или модификация товарных знаков или технических данных или табличек помещенных Продавцом будут представлять собой подделку и противозаконные действия которые могут преследоваться по закону по инициативе Продавца как в отношении Покупателя так и в отношении владельцев представленных третьими сторонами В таких случаях Покупатель утрачивает право гарантии на продукцию 11 Пункт о расторжении 11 1 Comet имеет право расторгнуть согласно ст 1456 Гражданского кодекса Италии в любое время путем письменного уведомления которое будет направлено Заказчику конкретную сделку по продаже в случае невыполнения обязательств по статьям 4 Цена продукции и условия платежа и 10 Права на интеллектуальную собственность 12 Изменение имущественного состояния Заказчика 12 1 Comet имеет право приостановить выполнение обязательств вытекающих из продажи продукции согласно ст 1461 Гражданского кодекса Италии в случае если имущественное положение заказчика становится таким чтобы поставить под серьезную угрозу достижение ответных обязательств если не будет предоставлена соответствующая гарантия 13 Юридический адрес применяемое законодательство и юрисдикция 13 1 Comet имеет официальный юридический адрес по адресу своего головного офиса 13 2 Условия продажи и каждая отдельная продажа будут регулироваться и толковаться в соответствии с итальянским законодательством за исключением Венской конвенции 1980 года о договорах международной продажи движимого имущества 13 3 Все споры возникающие в связи с настоящими Условиями продажи и или с любой продажей относятся к исключительной юрисдикции Суда г Реджио Эмилии 13 4 За исключением случаев оговоренных в предыдущей ст 13 3 Comet оставляет за собой право когда выступает в качестве истца подавать иск по месту жительства Заказчика как в Италии так и за рубежом GENERAL CONDITIONS OF SALE 1 General Provisions 1 1 For the purpose of these general conditions of sale hereinafter referred to as the Conditions of Sale the following terms shall have the following meanings attributed to them Comet Comet S p A with registered office in Reggio Emilia Via G Dorso 4 also referred to as the Seller Order s each proposal for the acquisition of the Products sent by the Customer also referred to as the Purchaser to Comet exclusively by fax e mail and or a BTB online platform Sale s each sales contract stipulated between Comet and the Customer further to receipt on the part of the Customer of Comet s written acceptance of the Order Products the goods produced assembled and or sold by Comet 2 Purposes 2 1 These Sales Conditions apply to all Sales of Products In the event of a discrepancy between the conditions and terms as per these Conditions of Sale and the conditions and terms agreed upon in a single Sale the latter shall prevail Comet shall not be bound by the Customer s general conditions of purchase hereinafter referred to as the GCP even in the event that reference is made to them or they are contained in the orders or in any other documentation originating from the Customer without Comet s prior written approval The GCP shall not be binding on Comet also by the effect of tacit consent 2 2 Comet reserves the right to add modify or eliminate any provision of these Conditions of Sale it being understood that such additions modifications or eliminations shall be applied to all the Sales concluded starting from the thirtieth day after notification to the Customer of the new Conditions of Sale 3 Offers Orders and Sales 3 1 The quotations and offers issued by Comet shall remain in force for a period of 15 days from the date of issue except in the event of a different written confirmation on the part of the Seller In all events the Seller reserves the right to cancel or review offer quotations at any moment before the issue of the written confirmation of acceptance of the order 3 2 The Customer must send Comet specific Orders containing the description of the Products the quantity requested the price and the terms requested for delivery Any order order proposal or request of supply in any form sent to the Seller constitutes an irrevocable contract proposal in favour of the Seller for 30 days from the date of receipt with the Seller being free to accept or not the Order at its own discretion Any change made verbally or by telephone must be confirmed in writing by the Purchaser Every proposal received through agents co workers or business promoters shall always be considered as subject to the Seller s approval 3 3 A sale is considered to be concluded I upon the Customer receiving a written confirmation from Comet this confirmation may be sent by e mail fax or electronic means conforming to the terms and conditions of the Order ii or in the event the Customer receiving from Comet a written confirmation containing terms diverging from those contained in the Order after two working days have elapsed from the date of receipt of the confirmation containing different terms without Comet having received a written objection from the Customer iii or in the absence of Comet s written confirmation upon the Products delivery to the Customer 3 4 Orders confirmed by the Seller are irrevocable for the Purchaser once three 3 working days have elapsed from the issue of the order confirmation This is without prejudice to the Seller s right to request the cancellation of the order under the conditions that shall be proposed at the Seller s discretion 3 5 The minimum taxable amount for billing is Euro 50 except in the event of a specific departure agreed by the Sales Management Orders of a value of less than that amount shall only be processed if accumulated with other orders in progress generating a value of greater than Euro 50 4 Price of the Products and Terms of Payment 4 1 The prices of the Products shall be those indicated in Comet s price list in force when the Order is sent by the Customer deducting any discount communicated in writing to the Customer by the Sales Management in the event that the Product is not included in the price list or the price list is not available the product price shall be that indicated in the Order and confirmed in writing by Comet upon acceptance of the Order itself Except for what is otherwise agreed to in writing between the parties the above prices shall be calculated ex works net of VAT and discounts These prices do not include packaging costs shipment and transport costs from Comet s sites to those of the Customer Such costs shall be incurred
